Terms of Service & Acceptable Use Policy

1. Acceptance of These Terms

By requesting a trial of, registering for, or using MyLynk (the "Service," operated by Kurt Electronics Inc., doing business as MyLynk), you agree to be bound by this Terms of Service and Acceptable Use Policy ("Terms"). If you are agreeing on behalf of a company or other organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of the Service

MyLynk is a secure document exchange platform that allows a company ("Company," "you," "your firm") to send and receive documents with its own clients through an encrypted, branded portal. Files uploaded through the Service are encrypted at rest. MyLynk does not decrypt, inspect, scan, or otherwise access the contents of files stored through the Service in the ordinary course of operating it.

You agree not to use the Service, and not to permit any user of your account, to store, transmit, or exchange any of the following:

⚠ Zero Tolerance: Child Sexual Abuse Material (CSAM)

The Service must never be used to store, transmit, or exchange child sexual abuse material (CSAM) in any form, under any circumstance. This is an absolute prohibition with no exceptions. MyLynk does not, and cannot, view the contents of encrypted files in the ordinary course of business — but if MyLynk becomes aware, through any means, of apparent CSAM on the Service, MyLynk will immediately suspend the account involved without prior notice, and will report the matter to the National Center for Missing & Exploited Children (NCMEC) and/or law enforcement as required by applicable law, including 18 U.S.C. § 2258A. This obligation and MyLynk's right to act on it are not waivable or subject to dispute under these Terms.

5. Encryption, Monitoring, and Legal Compliance

Files uploaded to MyLynk are encrypted at rest using a per-company (and, for Deliveries, per-document) encryption key. MyLynk does not routinely monitor, scan, or inspect the contents of encrypted files. This means MyLynk generally has no independent way to detect a violation of Section 4 through automated content inspection.

This does not limit MyLynk's right to act on a violation MyLynk becomes aware of through other means — including a report from a user, a legal process, or any other source. MyLynk reserves the right, and in some cases has a legal obligation, to cooperate with law enforcement and to report apparent illegal content, including CSAM, to the appropriate authorities.

6. Suspension and Termination

MyLynk may suspend or terminate access to the Service, with or without prior notice, if MyLynk reasonably believes an account has violated Section 4 of these Terms, poses a security risk to the Service or other users, or for any trial account whose trial period has ended without an approved extension or conversion to a paid subscription. Suspension for a suspected violation of Section 4 (Acceptable Use) may occur immediately and without prior notice.

7. Data Ownership and Retention

As between you and MyLynk, you and your clients retain ownership of the files and data you upload to the Service. MyLynk acts as a custodian of that data, not an owner of it.

Upon termination of an account, MyLynk may retain data for a reasonable period to allow for export or recovery before permanent deletion, except where immediate deletion is required by law or where an account is terminated for a Section 4 violation, in which case MyLynk may delete data immediately or as otherwise required by applicable law or legal process.

8. No Warranty; Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, MYLYNK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

9. Indemnification

You agree to indemnify and hold MyLynk harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your use of the Service, your content, or your violation of these Terms.

10. Changes to These Terms

MyLynk may update these Terms from time to time. Material changes will be reflected by an updated "Last updated" date above. Continued use of the Service after a change takes effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law principles.
